I've never notied these disclaimers:

on newegg: Disclaimer: Qualifying proof of purchase must be recent receipts showing the purchase of a mother board, hard drive, RAM and a CPU. The components can be on multiple receipts; not necessarily all on one receipt nor on the same receipt as the qualifying Windows XP/Office 2003 that you purchased.

on zipzoomfly:Note! This product must be purchased in conjunction with a hardware item.

Is that new?

Nope not new but what a lot of retailers have done (and still do) if you order it alone is ship it to you with a USB cable or an old piece of hardware.

In May I purchased an OEM copy of Windows XP pro from Tiger Direct without any other qualifying purchase. I have also ordered an OEM copy from New Egg late last year without a "qualifying" purchase. So you should be okay.

OEM is for system builders, so they want those people to buy it and not other people.
