Do you have a distribution certificate?
Here's a link you should find helpful, it's the one I refer to everytime I need to submit an app (because it's rarely an easy process... There's too many steps.)

I wish they'd update that guide for xCode 4. Or make it built-in to xCode to create the distribution build.
It could help with making sure only the more serious attempts make it to the app store...
But yeah, an update to the newer version of Xcode would be nice.
