They may, but at what price? A nasty, prolonged proxy fight is going to run more and more Yahoo employees out the doors. They were already leaving in droves anyway. Microsoft will win a hollowed-out company. Microsoft must certainly know this, which makes me wonder if they aren't less interested in acquiring Yahoo than in getting them out of the way as competitors.
