I just got a 3G iphone and was going to give my unlocked 2G phone to my mom. I want to clear out all my stuff, including songs, emails accounts, apps, everything, before I give it to her. Is restoring and then re-unlocking the phone the only way? She'll also be syncing to her PC instead of my MBP.

Settings --> General --> Reset --> Erase All Content and Settings. Takes about an hour to complete.

Will this relock the phone?

Just curious, but does anyone know if there's a difference between doing this and restoring as new? Seems like restoring would take less time.

Restore would definitely relock the phone.

I really don't know. I haven't unlocked my phone, so I haven't worried about it. As you said, though, restoring as new will relock, or at least so I have read.
