Can I boot the machine in vista, and upgrade (install 7 on top of vista) Or will that mess up up the MBR (boot loader) ?

Though you can also just install W7 clean from the upgrade disk. http://www.winsupersite.com/win7/clean_install_upgrade_media.asp This is actually the best way to do go if you also want to go 64 bit and aren't already running it.
