I would suggest either using CONVERT.EXE in XP instead http://technet.microsoft.com/en-us/l.../bb456984.aspx, or using the old double install trick to clean install Vista. http://www.winsupersite.com/showcase...rade_clean.asp
Personally I'd go for the clean install.

Personally I would skip the black-hole of suck that Vista was, and move onto 7.
And I would avoid using FAT32. NTFS is far more stable.
Difficult takes a few seconds; impossible, a few minutes
