Photos downloading in camera roll forever

just got new iPhone 5 .. had iPhone 4 .. everything seems to have transferred but when I open photos/camera roll the device is cranking away 'downloading'... but there is no change in the camera roll .. it has about1/3 of the photos from old phone ... has couple that I just took .. but message and spinning crank still churning away

Depending in how many pictures and how fast your wifi connection is it will take a long time. Restart phone.

so I have to be on wifi to download pics..?

Yes. U have to be connected via wifi to have pics restored from a backup. Same goes for Photostream.
