Well the note 2 is a phone, the iPod touch 5 is a media player. Personally I don't have enough money to pay for a contract so I keep with my iPod touch (4)
PC: FX 6300, hd 7870, 8gb ram, 120gb ssd, 1tb hdd, define r4, rosewill 630w, MSI 970a-g43.
Stuff: 1st gen iPad Mini, iPod touch 4

i wouldn't have spent so much for a media player in the first place so selling ur touch for a phone is a good enough choice in my opinion.
Note 2 is a decent enough phone and you won't be so disappointed in the gaming department with that phone.
BTW, sorry i dont really know resale value of Touch 64G but right around 300-320 ball park should be alright.
