wanting to upgrade

Hi,

I've a MacPro with a 3GHz 8-core clovertown and 8GB RAM...

question is what to replace it with, I have around 2k - the 2.8GHz quad core nehalem with 8GB is on budget (education prices) but would it be an upgrade?
