3G to Son Transition Advice

Hi, I am upgrading to the new phone. Want to give my 3g to my 10 yr old son to use as a wifi/ipod.

What should I do to transition to my new phone all the old apps, settings, etc.
And then do to the 3G before I give it to him?

Step by step would be very helpful.

I restored mine to factory settings (restore button) then loaded in apps and songs for him. I did remove the SIM card because he is just using it for a glorified iPod. Now it can sync up to my computer with just his stuff on it, but share my account for apps etc.
