I just picked up a copy of Aperture 2.1.1 from our University Store
the box says not eligible for upgrade.
but to what level?
Does it mean:
'No upgrades ever not even Aperture 2.1.X?'
Or not to aperture 2.2.x.
Or just not upgradable to Aperture 3.0?

If i open the box and install i will know, but i wont be able to take it back for refund, to get the latest version..
Does anybody know?

I am certain that only excludes 3.0. The dot updates have always been complimentary. When 3.0 comes out, you will have to purchase a complete install disc and not simply the upgrade pack that will just modify the installed files and plugins.

An Upgrade would be akin to 2.0-3.0. It would involve a whole new product. that almost always is paid for Updates are a different thing and would be 2.1-2.2 - they are inter-version updates that do not fundamentally alter the programs operation and tend to be free.

The words "upgrade" and "update" may sound similar in context, but they mead different things.
