app versions on different devices touch & pad

Just a quick question, i have a touch (1 gen) that is still on 3.1 and have avoided upgrading some app as they need 4.0. Now i'm looking at an ipad 2 and some of these app cross over ie ebay. Is there a way to upgrade or have 2 versions so i have the current app on the ipad while not running into issues on the ipod touch.
