My brother wants to sell me his 3G s. My question is: Since he bought it on his account will Apple/Att have a problem with me activating the phone?

No, just call them and tell them you have new equipment and need to update your account with the SIM and IMEI. They will also need to add the data plan if you aren't already using an iPhone.
