Why wouldn't it? I mean that is what it is meant to do when you buy a new iPhone is you back up your data from the phone usually to your computer via iTunes and then restore the data to the new iPhone with whatever version of iOS the new phone happens to have on it. It is the data you are primarily backing up, not the iOS. The apps too will have new versions of their software waiting for you to download from the App Store. Go for it.
