basically i know the device that is running PDA Net has to be JB obviously but what about my iPad2? it would work tethering over from the iPhone even if it isnt jailbroken right?

its basically would work as normal wifi?

From what I understand, PDANet does not create a wifi hotspot. It's a USB tethering app that does not require root on Android phone. And no, it won't work. iPad won't recognize the USB.

If you have an access to a rooted Android phone, there are apps on the market that will create a wifi hotspot. I personally use "WiFi Tether" and it works great. It may need slight tweaking for your model of the phone.
