Data Plan when swapping upgrades

When you're swapping iPhone upgrades that is you are using someone else's iPhone upgrade I was told I will have to activate their phone, and then swap plans, so that the new phone is under my plan.... Can I lose m unlimited data plan... How do I avoid this?
