I believe I've read in the small print of the upgrade procedure that you may not upgrade an OEM version of Parallels 7 for free.
On Parallels page "Parallels Desktop for Mac Tech Guarantee 2012" (http://www.parallels.com/techguarantee2012/) it says:

"The following Parallels Desktop for Mac products do not qualify for the Tech Guarantee:
...
OEM Versions that are purchased unlawfully without hardware or qualifying software."

I guess this will unfortunately apply to the Newegg offer.

Also not qualified are products purchased on eBay and products sold from unauthorized Parallels resellers.

Qualifying Software

The deal from newegg bundles some font software (Summit 3000 Fonts). I assumed the point of bundling the software was to meet the qualifying software requirement for the OEM package. I ordered the bundle yesterday. Hopefully Parallels will honor the upgrade.
 
I did the NewEgg offer when it first came out,(Late Aug?) and I got the free upgrade.

I also got some fonts to make it "legit" I guess.

I submitted for the free upgrade and got my key about 45 min later.
 
Just a follow-up.....got my Parallels 7 OEM package yesterday. Input the Activation Key on the Parallels site (didn't have to even open the CD)...uploaded the invoice from Newegg....a couple hours later my free "upgrade" Parallels 8 key was in my email box.
