Do the new headphones operate fully with a 4S?

I thought I saw something about noise canceling of sorts with the new headphones and didnt know if that required using the 5 with it.

they'll work just fine with the 4S

You shouldn't have a problem as long as there's no change in the jack or the iPhone 5's input. Apple's website show's the requirements for older devices using the remote and mic, so I'm sure they'd specify if there were any iPhone 5 only features.
