I currently have a 3GS 32 GB on AT&T and I want to upgrade to a 4 32 GB. If I purchase a 4 with my current plan, I wont get the $300 price, correct? And will I have to give them my 3GS? Or can I unlock that and sell it on eBay? Thanks.

Call AT&T and find out details about when you can update and for how much.
And no, you don't give back or trade in your old 3GS. You keep it.

you can check your upgrade elegibility (or when you will be eligible) online or through text, but wouldn't you rather wait a few months to get the newer iPhone that is likely to come out? Personally I find any new iPhone purchases between january and july a bad idea, because its not too much longer until the new one comes out.

Dial *639# on the phone and itll tell you your eligibility. But why upgrade now when the 5 is out in 3 months? Waste of an upgrade. That would be the worst idea I've heard this month.
