I formatted a new external drive yesterday at work as FAT32 on OSX so I could share with my home laptop running XP Pro SP3. But the windows machine sees the drive as unformatted. Any ideas?
 
Format it on the Windows machine and it should work just fine.

What Mac and version of OS X do you have?
Personally i prefer using NTFS for swapping files between my Windows machine and my Mac, but you have to install a few simple things first.
 
Make sure the volume scheme is Master Boot Record as well as FAT formatted. You do that through Disk Utility by chosing the partition tab, selecting partition amount, and then clicking the Options button at the bottom before you select MS DOS as the format.

thanks I think that's it, it was using apple partition map, have reformatted and will be able to test tonight
