help... backup iphone with backup of another

i have an iphone thats not working too well. i'd like to transfer everything on it to another iphone that has older firmware...how can i do that...

original iphone- 4.2.1 with 06.15.00
i want to transfer everything to an iphone with- 4.0 with 05.13.04

i tried using backup and restore from backup...but the one i want to tranfer to does not see the original iphone backups.

both are 3g.....both are jailbroken
