2007 macbook pro C2D

Started late last year. It would occasionally have kernel panic while running in os. I clean installed OS, replaced hard drive, still does it.

Now the whole thing is useless. The kernel panic is showing up on every single startup. the apple logo shows up, spinning for 30 to 40 sec, and the " restart your computer" message would appear.

Tried

1. reset pmu, pram - no help.
2. boot from cd, DVD - os disk, techtool deluxe disk, - no help! would not even go into the interface, just the spinning and die.
3. swapped memory - no help.
4. verbose mode - hang and die in the middle
5. single user mode - boot successful.

Any thoughts, insight? really appreciate any help!
