Help Writing a proposal

I need a little help here. I am in the process of writing a proposal for a software upgrade for my office of about 10 people. This will be for a Adobe CS3 upgrade.

Does anyone have experience writing something like this?

You shouldn't need anything too fancy. 2-3 paragraphs at most.

Who needs it and why. Will make them more productive because...Will allow us to do this which we couldn't do before...Don't forget to justify the cost.
