I purchased my 3GS in November 09 and have been patiently waiting for the Iphone 5 for about a year. But my phone must have gotten wet somehow because the screen is very dim and cant be viewed unless under strong light, the camera port has signs of moisture, and various clicking sounds are coming from the phone.

If i need to replace my phone, will my upgrade clock be reset?
 
The only way your upgrade will reset is if you:

a) pay off your contract and start anew
b) somehow early upgrade
 
Let it be known that the $199 price that you pay for a replacement is not subsidized pricing.

If you pay $199 for a replacement, it will not mess with your upgrade.

Just to clarify I think that is only if you go through Apple. If you replace it through AT&T they will extend your contract, wont they?
 
So if i replace my 3gs with a new 3gs, the upgrade clock doesn't reset, but if i jump to a Iphone 4/other new model phone, it will?

Only Apple does warranty replacements.

If you buy a new phone from ATT or one of it's resellers, and sign a contract, that will affect your upgrade clock.

If Apple does a warranty replacement for free, an out-of-warranty replacement for $199, or you buy another phone on eBay/craigslist (that doesn't require signing a new ATT contact), your clock stays the same.

If you damaged your iPhone with water / moisture then your warranty is void and you will have the option for an Out of Warranty replacement. This will be $199 + local taxes. This unit will come with a 90 day warranty. This will not affect your subsidy upgrade in any way concerning signing a new contract for a subsidized new iPhone.
