ok so i have an att ipad 2 and want to just use wifi. when i unlock it, will it say: NO SIM.. at the top? thanks guys!

Unlock it from what? If you want to use it without 3G, simply turn on wifi and connect to a network. You don't need to unlock it.
You should be able to just cancel the 3G service and continue using the iPad as a wifi only device. I did this on my original iPad and didn't have to do anything special. Go into setting and turn the cellular off if you want the "no sim" message to go away.
