I have an iPhone 4 that has a bad esn and I use it as an iPod touch. The wifi is greyed out (a common issue) and I have tried everything. So even though the phone has a bad esn and is out of warranty do you guys think apple would replace it?

Yes, but you would pay to have it swapped since it's out of warranty.
 
If OP got his phone replaced by Apple, would that change the ESN?
Because doesn't a bad ESN either mean the phone is stolen or the phone bill hasn't been paid?
