iPod iPod video - 2 identically formatted videos, one works and one doesn't.

I have 2 videos. Both are 480x264, h.264, 256kbs, 64kbs AAC 48khz audio, 29.97fps. But one will transfer through iTunes to the iPod and the other refuses. Any ideas? They were converted with the same software.
 
Are they different h.264 profiles? (the ipod requires the low complexity profile)

Which software did you use and how big are the files?
