is this a clean install or upgrade?

please excuse the noobishness...

im trying to go from lion to mountian lion via clean install. is this the right choice?

lastly if my extern HD is has 2 partitions 1 for superduper backup and 1 for time machine, if i drag n drop files from my MBP and place it in on either of the partitions will i run into any problems with my backups?

It's for either one. The app that you get once you redeem the code can be used to directly install an upgrade, or you can create a USB installer disk for a clean install easy (just Google Mountain Lion USB installer).

Can your system not handle Yosemite? You could just upgrade to that for Free.

i prefer upgrading lil by lil. my apollo twin duo min requirement is mountain lion and i also use logic 9 and the newer os are not compatible... i just don't want to run into any problems...
