Issues with Scheduler

All too often, I am getting a window which says: "Scheduler wants to make changes to your Mac" - and I have to enter my PW (or cancel) and I"m not sure what i'm doing if I cancel or if I put my PW in!!! IS this an important issue and if not, how can I stop it from popping up? If it is important, what is it doing please?

Do you use Scheduler or is it legacy software on your machine. Drag it to trash if the former
