and I'm wondering how easily it'll be to transfer everything from my 2nd Gen iPod touch to the phone.

Like, as long as I sync the phone with the same iTunes I sync the iPod with, it'll be fine right?

Also, what is activation like in iTunes? How long does it take, etc.

Everything will sync the same. You'll be done in less than 10 minutes, give or take the amount of music you put on.
