Just got iPhone 4s in the mail...question about upgrading

So I want to restore my iPhone 4s from a backup of my iPhone 4 so I don't lose everything. However, my question is...

Do I need to upgrade to iOS5 on my iPhone 4 before I activate my iPhone 4S? I'm a little confused and I don't wanna mess it up.

I'm worried if I don't upgrade my current phone, then when I put the backup on the 4S then it will resort back to 4.3.5. Is that the case???? Or will it leave OS5 on there and just import everything else.

HELP! I wanna play with my new phone!

Not necessary. Just back up the 4 first, then restore that backup to the 4S.
