Mac Pro Ram Issues

I got the mac pro booting after I did the 12 core cpu upgrade but I cant get two ram slots to appear the red led appears for the ram slots 3 and 4. Is that because the cpu is seated correctly?

If that happen right after the CPU upgrade, highly likely you are right. The 1st thing to try is to reseat the corresponding CPU.
