Macbook randomly wakes from sleep

I have a MacBook core duo that wakes from sleep with the lid closed. The super drive cycles and the LCD turns on. I've heard the logic board was the culprit, but I was hoping for a second opinion. Nothing is plugged into thel USB ports when it happens.
