Migrating files, etc. Mac to Mac, does both Mac's have to have Migrating Assistance downloaded on them ?

Yes, both machines will need to run the Migration Assistant app, but it comes with the OS and should already be on there. It is a good idea to run software update first on both machines to make sure you have the latest versions.
