Question regarding upgrade

Hi guys this is my first post here. So I am sorry if this has been asked before.

I am currently an ATT iPhone 4 owner. I am grandfathered in with unlimited data and text and calling.

I have been eligible for my upgrade since July 7th. I wanted to get the iPhone 4s in white as I have the black one now, however, I have been reading that if I use my upgrade I will not be eligible in 12 months, instead it will be 18-20?

I was wondering is it worth it to use my upgrade? (Just some thoughts)
2- Has anyone ever used the site www.sellarena.com? They will by my iPhone for $326.
