It came preinstalled with Lion. How can I sell it and give an out of the box experience with Mountain Lion preinstalled instead of Lion?

You can't since they would have to buy it or assign their AppleID to it. And since Apple TOS doesn't allow for transfer of purchases, they would have to do it themselves.
 
You could try to repackage it as best as you can after installing it yourself, if it's necessary to have that specific OS on the laptop for him. You would have to take the external wrapper off and the main sticker, but not necessarily mix up everything inside.
 
It's secondhand....Surely nobody is going to expect a new out of the box feel...If they want that, they buy a new one...Just install the OS and box it up, it should have no effect on the Mac's re-sale value at all.
