I have a 3GS running 4.0.1 that I am selling to a guy tomorrow... It is imperative that it stays on 4.0.1 as he wants to unlock and jb. How should I prepare the phone for sale?

Since I am porting my number to my new iphone 4 first, will I still be able to access all the settings and crap on the old phone (but obviously not make calls or use 3G) because the SIM is deactivated?

If I do an "erase all content and settings" will that just do the trick? Or will it force the phone to upgrade to 4.0.2 when it is hooked up to the computer again?

Should i just resync my iPhone, but unchecked syncing of all music/apps/contacts/etc and make sure to just delete all my texts and iTunes acct and stuff manually?
