Relative trade 3G S for my 3G?

I have a relative who's up for a phone upgrade. She'd like a 3G. I have a 3g 16gb and we made a deal that if possible shed buy the 3g from me cheap and shed buy the 3g s and we'd trade phones. Is it possible for 2 AT&T accounts to trade dfferent versions of iPhone at no cost? Are there any fees for this?

and how would contracts work for this? Who would get a new 2 year contract?

She can upgrade to the 3GS and then switch sim cards and phones with you. No charge, ATT or Apple don't even need to know.
