i think there is a piece of software called ringtone maker. I saw it in an apple store once was about $20.

Converting from a raw sound format (MP3 etc) to note based format (MIDI) would be quite a complex process I should imagine, so I wouldn't expect any free stuff to do that job.
Some phones support MP3s/WAVs as ringtones; others like .amr formats - Google a program called "SoundConverter" that will be able to convert to AMR.

it's called xingtone ringtone maker.
converts audio into mp3 and sends to your phone over the airwaves... no cables needed... doesn't work on verizon though.
