When I am using Safari v5.0.2 , every time I am at a site where I enter a password, I get a pop up window asking me : Would you like to save this password? ....... never, not now or yes.

I would like to disable this feature but can't figure out how. I tried preferences but with no luck.

Safari > Preferences > AutoFill > User names and passwords.

Why aren't you on the most current version of Safari, which is 5.0.3?

Safari > Preferences > AutoFill > User names and passwords.

OK. I updated Safari to v5.0.3 (Thank you). I unchecked "user names and passwords" in autofill preferences. This works to avoid the window asking if I want to save passwords. Never saving passwords is my intention. (Previously, if I chose to never save a password, it worked, and the window didn't reappear, but only until I cleared my browser, which I do often.) Do you think there is any negative aspect of doing this that I may not be aware of?

No, there's no negative, other than the fact that you have to enter usernames and passwords each time. It's a matter of convenience, nothing more.

Just what I thought, but thank you for confirming & for all your help.
