I was offered a good price on my iPhone which I got in 2008 so I sold it before I upgraded. I reset the phone to "new" and kept the SIM card.

I am going to now upgrade to iPhone 3G (mine was 2G).... so will I have problems, do I need the old phone to upgrade??

Will the new iPhone come with a different SIM card to activate????
 
Who are you getting the new phone from?

If the iPhone is BNIB, it will come with a SIM card, but you can just put your old one in there and it will work fine. Call your service provider and tell them to change your account details with the new phone.
 
I sold my 2G iPhone before I upgraded to the 3G and had no problems. They give you a new SIM card and then activate it in the store, which will replace your old SIM. You don't need to bring your old phone either.

AT&T online store. I will probably get the refurb for $99.
