I've had my Stainless steel 42mm Series 2 Apple watch with milanese loop since launch day, excellent watch, i don't plan on using ceullar on the new Series 3, with that being said, Should i upgrade to the Series 3 for the minuscule upgrades it offers or is it not worth it?

I very much care about the fitness aspect of the watch and it's sensors, I'm aware that the Series 3 has the built in barometer that checks elevations and counts steps which would be beneficial in daily use to give more accurate overall fitness recording but that seems about it,

As far as CPU Speed is concerned the Series 2 seems to handle most apps with ease so the bump in cpu power in the Series 3 isn't a big deal.

Is the physical Heart Rate sensor that is present in the Series 3 IDENTICAL to the heart rate sensor that is present in the Series 2 or is it slightly different/improved?

I use both my S2SS (milanese also though It turns out I've never really worn the milanese) and S3SBSS LTE for running, gym workouts using Gymaholic. Except for preferring the S3 for runs without the phone, they both handle my needs well. Of course reported cadence is garbage on both of them, but no issues with GPS, battery life (within known limits), or processor handling. I use a Scosche Rhythm Plus (which I think everyone should use) for HR during activities, but find the AW HR sensor adequate if I shave a patch, wear it one notch tighter, and wear a sweat band on my forearm right above the watch. I understand both watches use same HR sensor.

Both also play music to my BT ear buds just fine (Plantronics) during activities. You would get more storage on certain S3 models and of course streaming.

The barometer/altimeter is negligible value to me as I import my activities into Garmin, which uses GPS to determine elevation. Battery life for me is also very similar on both watches. Both track sleep same with Autosleep or Heartwatch.

I would say unless you have a need for the LTE phone-less use, the S2 should serve you well for what you described. I went SBSS for the S3, and prefer it's looks, but my S2SS looks more classic watch coloring and goes with more bands.

I don't necessarily think the Series 2 to the Series 3 is a necessary upgrade depending on how you plan on using the Apple Watch. As you stated, you don't plan on using LTE, which is a major feature with the Series 3, aside from audible Siri. I have said it before, I think Series 2 to the Series 3 is more of a lateral grade versus upgrade, As they share mainly the same features and capabilities, but the faster dual core processor has the advantage with Series 3.

Definitely prefer the series 3 over the series 2 for the speed and Siri working better. Didn’t think LTE was going to be that important but I love it. Love the new watch face as well.

With that, I don’t think it is necessary at all to upgrade if you have no plans to use LTE.
