Ok so my first gen iPad went out on me the other day (4 days before my year warranty was up) I backed it up and ran to Las Vegas to get a replacement. The guys at the Town Square Apple Store were awesome. My problem is I went to reload my backup and couldn't because I needed to upgrade to ios5 first. but how do I set up my new ipad upgrade to ios5 and then restore my back up? To I just name the new ipad the same as the old one I replaced? Its not that big of a deal but my kids on on me for loosing all their scores and acheviements on the games.

You shouldn't have to upgrade to iOS 5. You can just restore with previous backup from your first iPad then upgrade to iOS 5 afterwards if wanted.
 
once update to iOS5 right click your iPad in iTunes and select Restore from Backup. choose the backup that was made of your iPad 1 and all the apps and their data should be installed onto the new iPad.
