Theoretically, you should be able to upgrade a bootleg version of Final Cut Pro to a legit copy of Final Cut Studio 2 by purchasing the Final Cut Studio 2 Upgrade from FCP, right?
 
Since you're asking, I'm guessing you're the owner of a pirated copy of FCS1/FCP and wondering whether you can purchase the Apple's upgrade to FCS2. You're probably not going to get an answer here since you're asking for an answer that would circumvent paying for software that someone has invested time, money, and effort into developing.

You could always call Apple and see what they think. Chances are if you wouldn't call the manufacturer of the software then you should not be doing it, regardless of whether or not it works.

Upgrades require a working, legal serial number to be installed. In other words, tough luck, matey. Arrrr.
