This is true only if the OP used redsn0w or PwnageTool to jailbreak his phone. If he used Spirit, then he's out of luck unless he has 3.1.2 SHSH on file and can downgrade and pwn.

I went from 3.1.3 jailbroken (pwnage) to 4.0 jailbroken (pwnage) on old bootrom. Works great, but as mentioned above, pwnage jailbreak needs to be your starting point.
I could have upgraded my modem firmware as well but I chose to keep it at 4.26.08.

Just this morning my 3GS (old bootrom) went from 3.1.3 jailbreak (Spirit) to 4.0 jailbreak (Sn0wbreeze). The key is to grab Spirit2Pwn off Cydia before using Sn0wbreeze.
