Upgrade question not 4.1

I just got an itouch and its got 3.1.3 on it. I want to upgrade to 4.0 how can I without going to 4.1 (need to jailbreak it) I tryed to download the firmware and use the shift-upgrade in itunes but says not compatible.

any help?

What generation is your iPod Touch? It may not be compatible with iOS 4 at all.
