I have a second gen and thinking of getting a 4th. My iPod works petty well expect for my volume button's you have to press 100 times to work and having some stuck pixels which are now gone.

So I was wondering what better in the new one and is it worth upgrading?

I don't think anyone can decide that for you. Do I think it's worth it? Yes. There's improvements across the board. Better processor, better screen, two cameras, HD video recording, gyroscope, wifi N, better battery life, has an actual speaker, built in mic, thinner, takes full advantage of the best iOS has to offer at the moment, etc. Go to a store and check it out though. You may feel those things don't really matter in the grand scheme of things.

the 4th gen is much faster in every way. the apps load faster, multitasking, the A4 processor. the 2 cameras, facetime.

it keeps up with and sometimes surpasses my iPad in terms of page loading and switching between apps.
