I upgraded to the 3g late last year and of course am not eligible for an upgrade. My friend wants to get a 3g. I'm wondering if there's any reason this won't work.... He buys the 32GB 3gs, then we swap SIM cards, he has my 3g and I get the new 3GS.

Would this work or am I missing something ?

That should work just fine*. It's also not, as far as I know, even remotely against any agreement or contract. However, I'd let AT&T know. They're not going to care, because the contracts are already in place and they'll get their money, but it might help with registration, etc.

* It's AT&T. One never knows what will actually work.
 
I'm sure you're aware that it also means your friend will inherit your phone number and you'll get his phone number (if he has it transferred)...?
 
it'll work fine..do exactly what you plan on doing then both of you call at&t with your new IMEI's (this isnt even necessary if you dont want to)

have him buy it for in home activation and then swap sim cards BEFORE you plug it in and activate, that way itll be activated under your number
