Just be patient

It took my iPhone 4S about 15 minutes if not more and the iPhone 4 a little longer. I think it's backing up to iCloud if you don't have it connected to a system.

Does it do a restore of the iPod

40 mins for me in the Uk but all is good.

you wont loose anything, it's a precaution just in case the upgrade fails in the middle.
