Market cap while a popular metric is not an accurate measure of a corporation's size, and profitability.
 
Microsoft isn't going to die anytime soon, Windows 7 is brilliant and their phones look like they have promise.
 
When I read "second largest", I think of a company with hundreds of thousands of employees, with branches and factories all over the world.

Apple itself is not that large, but it's the second most valuable by current stock price.
 
We should buy IBM, HP, Dell, Intel, or Microsoft, you know, since we are the second biggest company in the world.😱

Those markets will shrink over time. Apple is already eating some OS market share, Google may start to do so as well soon enough with Chrome, cloud-based computing is going to hit Windows hard in terms of relevance as well as it is going to change the very concept of "Servers". Meanwhile, there is no sense that Microsoft is readying itself in face of those new paradigms. Microsoft is notoriously a crippled company when it comes to innovation due to bureaucracy and internal corporate politics. Add the thickness of Ballmer on top of that, and well...
